Responsible for legal affairs and corporate affairs activities, for the overall corporate governance of the Institute, and the functioning of the Supervisory Board.

AI4I Description

Based in Turin, Italy, the new Italian Center for Artificial Intelligence AI4I will play a key role in the study and dissemination of applied AI techniques and methodologies in several wide-ranging manufacturing sectors, starting with automotive and aerospace.

The newly established Institute is part of the broader group of research foundations, established by the state according to operating mechanisms anchored in their private law schemes, but equally functional in the use of public finance, for the development of the scientific activity of national interest strongly oriented to synergy with the industrial fabric of the country and the development of technology transfer.

The Institute will aim to create an integrated research and innovation infrastructure that, through investments by public and private partners, can develop knowledge and expertise on AI, expanding the Institute areas of activity to other industries, from advanced mechanics to health, to financial services.

Responsibilities

  • Legal Affairs
  • Corporate Affairs (corporate compliances, including support activities for any fulfilment related to the secretariat of the Supervisory Board)
  • Study of matters concerning civil law, criminal law and administrative law
  • Applied study, case law research and in-depth study of regulations of interest to AI4I
  • Preparation and filing of legal files
  • Drafting of articles of incorporation of new legal entities
  • Management of special powers of attorney related to signatory powers

Main stakeholders

  • The role will contribute to the start-up of the Institute activities, having to interact with all the main administrative and scientific functions and being a fundamental junction of all the start-up processes and proper functioning of the Institute, for the conformity of its acts and the correct approach to relations with institutional and sector/environmental stakeholders.
  • In addition, the role will also have a constant liaison with the Chairman and the Supervisory Board, given the role of responsibility for all activities of a “corporate” nature that have an impact on the operations of the Institute, including those supporting the management of board activities, and the correct execution of the related resolutions.

Ideal Profile

  • The ideal candidate is a young, bright legal professional, who has been licensed to practice for no less than 5 years, with an appreciable and effective professional experience of at least 5-7 years gained in leading national or international law firms, or entities/companies of significant size falling within the perimeter of the Public Administration;
  • The candidate must be able to autonomously manage : (i) legal and corporate affairs; (ii) wide-ranging contractual matters, with particular focus on the agreements that characterize the operation of a research institution, (iii); the issuance of appropriate opinions and in-depth studies functional to the correct setting and execution of board resolutions and, more generally, of theInstitute operational activities;
  • Professional experience, also related to the management and coordination of resources, gained either in professional contexts, of national and international relevance, or in entities or companies – in this case preferably falling within the perimeter of the P.A., i.e. controlled, supervised or financed by the State – and an effective knowledge of the mechanisms of public finance and those that – usually – regulate relations with State Administrations that perform roles and functions of control or supervision, are required;
  • Brilliant graduate in Law, holding the title of lawyer. Having the above experience in favour of research entities falling within the scope of the P.A. and effective knowledge of the functioning of the main operational processes characterizing the legal/corporate area of a research entity will be an asset.

Key Competencies

  • Knowledge of public finance mechanisms, public economic law, and public contract law; negotiation schemes for the management and valorization of intellectual property and research activities as a function of technology transfer to the industrial fabric;
  • Knowledge of the operating mechanisms of research institutions, preferably according to logic ascribable to the private sector and, in particular, to research foundations (as in the case of AI4I);
  • Knowledge of the main special corporate regulations, functional to the implementation of the main corporate governance tools (i.e.: legislation on data processing; on the implementation of organization, management and control models under Legislative Decree 231/2001; on the adoption of corruption prevention plans or models);
  • In-depth knowledge of the Compliance and Corporate Governance systems of entities with public participation or falling within the scope of the P.A; 
  • Previous experience, gained in entities or corporate contexts of relevant size and complexity, with focus on the implementation and updating of Corporate Governance systems and internal regulations (Regulations, policies, organizational procedures).

The Foundation Istituto Italiano di Tecnologia (IIT) has assumed the role of partecipating member of the Fondazione AI4I (AI4I), pursuant to the DPCM January 26, 2024. As a partecipating member, IIT supports AI4I in the process of search and selection of the Director and all highly professional staff necessary for the start-up and development of operational activities.
